TERMS OF SERVICE FOR KIT IFMS

1. Introduction & Acceptance of Terms

Welcome to KIT IFMS (Integrated Financial Management System), Africa's most comprehensive, all-in-one financial platform designed for SACCOs, cooperatives, chamas, and businesses. These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User") and KIT IFMS ("Company," "we," "us," or "our"). By accessing or using the KIT IFMS platform, including its peer-to-peer lending, SACCO management, inventory, and communication tools, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

2. Our Platform: A Community-Centric Financial Ecosystem

KIT IFMS is built to transform financial operations by providing a unified, secure, and collaborative digital environment. Our features are designed to foster growth, transparency, and financial inclusion across Africa:

• Unified Financial Management: Integrates savings, loans, point-of-sale, and inventory into one system.
• Peer-to-Peer (P2P) Lending Marketplace: Facilitates direct lending between verified members.
• Collaborative Tools: Includes secure messaging, document sharing, and group management.
• Advanced Analytics: Provides real-time dashboards and reporting for informed decision-making.

We operate on principles of radical transparency, security, and user empowerment.

3. Critical User Obligations & Fraud Prevention Warning

3.1. User Verification & Know-Your-Counterparty (KYC) Responsibility

You agree to provide accurate, current, and complete information during registration and to promptly update such information. The platform may employ identity verification checks using methods such as document verification or checks against government databases.

• CRITICAL WARNING ON P2P LENDING & TRANSACTIONS: KIT IFMS provides a technological platform for financial interactions. WE DO NOT ACT AS A GUARANTOR, ENDORSER, OR INSURER OF ANY USER OR TRANSACTION. It is YOUR SOLE RESPONSIBILITY to independently verify the identity, credibility, and trustworthiness of any other member or entity you transact with on the platform, especially in the P2P lending module.
• You are strongly advised to confirm if a user is verified and known to you or your community before engaging in any financial transaction. The Company is not liable for losses arising from fraud, default, or misrepresentation by other users.

3.2. Prohibited Conduct

You agree not to use the platform to:

• Engage in any unlawful, fraudulent, or deceptive activity.
• Misrepresent your identity or financial status.
• Attempt to compromise the security or integrity of the platform's systems.
• Infringe on the intellectual property rights of the Company or others.
• Use the platform in a way that could damage, disable, or overburden our services.

4. Intellectual Property Rights

All rights, title, and interest in and to the KIT IFMS platform, including its software, design, features, and all related content (excluding user-provided data), are and will remain the exclusive property of the Company and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the platform strictly in accordance with these Terms.

5. Data Privacy & Protection

We process your personal data in accordance with our separate Privacy Policy and the Kenya Data Protection Act, 2019. We implement technical and organizational measures, including end-to-end encryption and access controls, to protect your data. You have rights as a data subject, including access, correction, and deletion, which you can exercise by contacting us.

6. Limitation of Liability & Disclaimer of Warranties

6.1. "As Is" Service

The KIT IFMS platform and all its features are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

6.2. Scope of Liability

To the fullest extent permitted by Kenyan law, the Company, its directors, and employees shall not be liable for:

• Any indirect, incidental, or consequential damages.
• Loss of profits, data, or business opportunity.
• Any financial losses incurred due to your interactions with other users on the platform, including defaults on P2P loans.
• Service interruptions or unauthorized access to data, except where directly caused by our gross negligence.

6.3. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or losses arising from your breach of these Terms, your misuse of the platform, or your violations of any law or third-party rights.

7. Termination

We reserve the right to suspend or terminate your access to the platform immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the platform ceases immediately.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Kenya. We encourage the use of alternative dispute resolution mechanisms where possible.

9. Amendments

We reserve the right to modify these Terms at any time. We will notify users of material changes via the platform or email. Your continued use of KIT IFMS after such changes constitutes acceptance of the new Terms.
